1. Who we are
Bespo-Kode is run by the Group of Enthusiast Developers, a small remote team. We are not VAT registered. You can reach us at aliasger.yamani@bespo-kode.com. “We” and “us” means Bespo-Kode; “you” means the business hiring us.
2. Quotes
Every job starts with a written quote setting out the scope, milestones, dates, price and what is not included. A quote is valid for 14 days. The price in the quote is fixed unless the scope changes (see section 4).
3. Milestones and payment
Work is split into milestones. When a milestone is ready, you review it and either approve it or tell us what does not fit. Each milestone is invoiced once approved, and payment is due 7 days after approval. Payments are made through Razorpay. If a payment is late, we pause work on the next milestone until it is paid, and agreed dates move by the same amount.
4. Changes in scope
Small tweaks inside the agreed scope are included. Anything that adds to or changes the scope is quoted in writing before we do it. Nothing extra is charged without your written agreement.
5. Delivery dates
We agree dates in the quote and keep you updated on progress at every milestone. Dates depend on you giving feedback and content on time; if that slips, dates move by the same amount.
6. Ownership and intellectual property
When you have paid in full, you own the code written for you, your domain and your data. Some general-purpose tools and libraries we use across projects remain ours; you receive a permanent, royalty-free licence to use them as part of your project. Open-source components stay under their own licences.
7. Your responsibilities
You agree to give timely feedback, provide accurate content, name one person who can make decisions, and confirm you have the rights to any material (text, images, logos, data) you give us.
8. Thirty days of free fixes
For 30 days after handover we fix, free of charge, anything that does not work as agreed in the quote. A fix is something that was in scope and does not work. A change is something new or different; changes are quoted separately.
9. Warranties and liability
We build with reasonable skill and care, and fix anything that does not work as agreed (see section 8). We are not liable for indirect losses such as lost profits, or for problems caused by third-party services, hosting providers or changes you make yourself. Our total liability for any job is limited to the amount you have paid for that job.
10. Confidentiality
We keep your business information confidential and only use it to do the work. We are happy to sign an NDA on request.
11. Ending the agreement
Either side may end the agreement in writing. You pay for milestones already approved and for work in progress up to that point, and we hand over everything completed so far.
12. Governing law
These terms are governed by the law of England and Wales.
